What is a sole proprietorship?

A sole proprietorship or business is a one-person business. It means that only the owner is entitled to the profits, losses, liabilities and debts.

It does not have to register with the state in order to function. That is, if you have a company by yourself; it is automatically sole proprietorship for the simple fact of conducting business.

It's one of the easiest ways to get started because most states do not require you to register with the Secretary of State. It is subject to fewer regulations when forming its board and to organize meetings by having a single figure at the helm. So, you don't have to be accountable to anyone and you can set your own hours.

But among the disadvantages of opting for this option is the fact that the finances of the company are linked to those of the owner. In case of bankruptcy, the owner will also suffer, therefore it is a risky model.

If it is sued, the responsibility also falls on the owner. In addition, you must pay both income taxes and self-employment taxes, which include Social Security and Medicare. This indicates that the more you generate profits, the higher the taxes to pay. Sole proprietors can hire full or part-time employees.

The sole proprietorship is ideal for low-risk businesses or for those who want to test the success of a business idea before formalizing it.

How to establish sole proprietorship in Tennessee

In Tennessee it is not necessary to register a sole proprietorship. This is legally formed when a business transaction is completed. The owner has the alternative of looking for the availability of a fictitious name if you want to work under a different name than yours.

You are not required to register the fictitious business name, but doing so will ensure that there is no other like it in the state. To verify that you do not repeat it, you have to look it up on the website of the Tennessee Secretary of State.

Another step that must be taken is to apply for the business license in the county where you proceed to do business. You have to make sure if there are other licenses that must be processed according to the type of company. For some professions professional licenses or permits are required that have to be applied for at the state level.

You need to apply for an Employer Identification Number (EIN) to be used on your company's tax documents and bank account. This can be requested on the website of the Internal Revenue Service.

Where to process registration certificate

If the business is engaged in the manufacture, sale or rental of personal property or the provision of taxable services, it is necessary to request a Certificate of Registration from the Department of the Treasury. It can be processed at the Tennessee Department of Revenue Online Tax Registration site.

It should be noted that depending on the type of business you may be obliged to pay sales or use tax, franchise, alcoholic beverages, among others. For this reason, it is necessary to inquire at the county office what type of tax license you need to apply. All businesses must pay a local business tax in their county.
